Thank you for using the meetingsclub website. We appreciate it. These terms (together with our Privacy Policy (which describes what information we collect from our Users and how we may use it and any other documents referred to) set out the general terms and conditions of use that govern the use of the meetingsclub website www.meetingsclub.com by any person who visits or uses the Site. Please review all parts thoroughly. They are collectively called the ‘Agreement’.
This Agreement is a legal agreement between you and meetingsclub Limited. Your use of www.meetingsclub.com (the “Site”), whether as a guest or a registered user, is subject to the following terms and conditions (“Terms”) (together with the documents referred to in them). By using the Site, you agree to be bound by these Terms.
If you do not agree to these Terms, then do not use the meetingsclub Site and do not indicate acceptance of these Terms.

These Terms refer to the following additional terms, which also apply to your use of the Site:
Our Privacy Policy (meetingsclub.com/privacy-policy) which sets out the terms on which we process any personal data we collect from you or that you provide to us. By using our Site, you consent to such processing and you warrant that all data provided by you is accurate.

1. Definitions

1.1 In these terms the following words shall have the meaning set out unless the context requires otherwise:
“Authorised User” means an employee or representative of meetingsclub.
“Business” means, Corporations, Government agencies or instrumentalities, charitable institutions, partnerships, companies and sole traders.
“Content” means text, graphics, images, music, software, audio, video, information or other materials.
“Charity” means the charities that meetingsclub supports.
“Registered Member Account” means an account created on the Site that is required in order to become a Member or create a Page Listing.
“meetingsclub Content” means all content that meetingsclub makes available through the Site, or Services, including any Content licensed from a third party, but excluding Member Content.
“Offers” means an offer from a venue or supplier or third party, for a special price or discount on a product or service or event which is promoted to the Member via the Site or Services.
“Member” means an individual who completes meetingsclub’s account registration process and has agreed to be bound by these Terms and Policies.
“Member Content” means all content that a Member posts, uploads, publishes, submits or transmits to be made available through the Site or Services.
“meetingsclub Content” means all Content that meetingsclub makes available through the Site, including any Content licensed from a third party, but excluding Member Content.
“Member Special Offers” means an offer from a venue or supplier or third party, for a special price or discount on a product or service or event which is only available to a registered Member via the Site.
“Suppliers” means any suppliers such as, but not limited to, food & drink, IT & AV and entertainment that meetingsclub provides to registered members via third party suppliers page listing.
“Supplier Page Listing” means a page that is listed by a supplier via a password protected portal.
“Venue Page Listing” means a page that is listed by a venue via a password protected portal.
“Venue” means any venues such as, but not limited to, hotels, restaurants and serviced offices that have a page listing via the Site.

2.Information about us
2.1 meetingsclub Limited (“we”; “us”; “our”) are registered in England and Wales under company number 09623629 and have our registered office at 1st Floor, Talbot House, Crowthorne, Berkshire, RG45 7AQ.
2.2 meetingsclub provides an online community platform for reviews of meetings, training, conferences & events, connecting bookers, delegates, venues and suppliers together. Only registered users (“members”) will be able to access certain areas whilst using the Site. By using the Site, you agree to comply with and be legally bound by these Terms and Conditions of Service (“Terms”), even if you do not become a registered member.

3.Accessing our Site
3.1 meetingsclub reserves the right, at its sole discretion, to modify the Site and/or Services or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification onto the Site or provide you with notice of the modification.
3.2 We will also update the “Last Updated Date” at the end of these Terms. By continuing to access or use the Site, after we have posted a modification on the Site or have provided you with notice of a modification, you will be deemed to have accepted that you will be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Site. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.
3.3 You understand and agree that unless specifically agreed in writing by meetingsclub, meetingsclub is not party to any agreement entered into between a registered member and a venue or supplier and that meetingsclub has no control over the conduct of the registered members, venues, suppliers and other users of the Site. meetingsclub specifically disclaims all and any liability over the conduct of any registered members, venues, suppliers or other users of the Site to the maximum extent permitted by Law.

4. How the Site works

4.1 The Site can be used to facilitate the posting of reviews, searching, listing, for users, registered members, venues and suppliers. You may view pages as an unregistered visitor to the Site, however, if you wish to benefit from members offers and services, contact a venue / supplier or create a Listing, you must first register to create a meetingsclub Account and become a Member.

4.2 meetingsclub is not an owner or operator of venues or supplier businesses nor does it act as an agent of any party with a page listing. meetingsclub’s responsibilities is limited to facilitating the availability of the Site.

5.Account registration

5.1 In order to access certain features of the Site and to create a Listing, you must register as a meetingsclub member and have a member “Account”. You will need to provide your name, username, email, company, contact number and a password to register.
5.2 We will create your meetingsclub members Account and profile page for your use of the Site based upon the information you provide to us. You may not have more than one (1) active meetingsclub Account. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. meetingsclub reserves the right to suspend or terminate your Account and your access to the Site if any information provided during the registration process or thereafter proves to be inaccurate, not current or if you create more than one (1) meetingsclub Account.

6.Your account and password
6.1 If you choose, or you are provided with a password or any other piece of information as part of our security procedures, you must treat such information as confidential. You agree to not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your meetingsclub members Account.
6.2 We have the right to disable any user password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms. If you know or suspect that anyone other than you knows your password, you must promptly notify us at support@meetingsclub.com.

7.Eligibility
7.1 The Site is intended for persons who are 16 years old or older. You must 16 years old to become a registered Member on the Site. Any access to or use of the Site by anyone under 16 is expressly prohibited. By accessing or using the Site you represent and warrant that you are 16 years old or older.

8.Page Listings
8.1 As a registered member, you may generate a Venue or Supplier Page Listing for your Venue or Business Services. You will be asked a variety of questions about the Venue or Business Services to generate your page listing including, but not limited to, overview, capacities, gallery. Your Venue / Supplier Business must be a registered company with a physical address. You agree and acknowledge that you are responsible for any and all Page Listings that you post. You agree that any details posted on your Page Listing will be accurate and not breach any agreements that you have entered into with any third parties.
8.2 meetingsclub reserves the right, at any time and without prior notice, to remove or disable access to any Page Listing for any reason, including Listings that meetingsclub, in its sole discretion, considers to be objectionable for any reason, are in breach of these Terms or the quality of material posted including but not limited to, photographs are deemed harmful to the Site provided by meetingsclub.
8.3 As a venue or supplier, you understand and agree that meetingsclub does not act as an insurer or as your contracting agent. If a registered member submits a contact venue form or contact supplier form and uses your venue or business services, any agreement you enter into with such registered member is between you and the registered member and meetingsclub is not a party to that agreement.

9. Submitting content to the Site
9.1 While we try to make sure that the Site is secure, we cannot guarantee the security of any information that you supply to us and therefore we cannot guarantee that it will be kept confidential.
9.2 Any content you upload to the Site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us a limited licence to use, store and copy that content and to distribute and make it available to third parties.
9.3 We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Site constitutes a violation of their intellectual property rights, or of their right to privacy.
9.4 We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of the Site. The views expressed by other users on the Site do not represent our views or values. You are solely responsible for securing and backing up your content. meetingsclub also expressly disclaims any warranty, representation, or other term of any kind as to the accuracy or proprietary character of the site content.

10. Intellectual property rights
10.1 The rights in the design, pictures, logos, photographs and content of this Site are owned by or licensed to us. They are protected by copyright, trademarks and other intellectual property rights. You may not copy, reproduce, modify, distribute, republish, display, post or transmit any part of this Site, except where expressly granted. You may view or print individual pages only for your own personal use.

11. No reliance on information
11.1 By using the Site, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other Members, venues or suppliers will be limited to a claim against the particular Members, venues or suppliers who caused you harm. You agree not to attempt to impose liability on or seek any legal remedy from meetingsclub with respect to such actions or omissions. Although we make reasonable efforts to update the information on the Site, we make no representations, warranties or guarantees, whether express or implied, that the content on the Site is accurate, complete or up-to-date.

12. Notices and written communications
12.1 You accept that communication with meetingsclub will be predominately electronic and that meetingsclub will contact you by e-mail or provide information by posting notices on the meetingsclub Site. You hereby agree that all information communicated by meetingsclub to you, including but not limited to contracts, shall comply with any legal requirement that such communications be in writing.

12.2 For the avoidance of doubt the foregoing shall apply in respect of any laws require that some of the information meetingsclub sends to you should be in writing.

12.3 Any communication to be given to meetingsclub in connection with the matters contemplated by these Terms shall be given to meetingsclub Limited at 1st Floor, Talbot House, Crowthorne, Berkshire, RG45 7AQ. Without prejudice to the forgoing and for the avoidance of doubt, meetingsclub does not accept electronic service of any legal documents. Any communication to be given to you by meetingsclub shall be by way of an email address provided by you to the Site, in the first instance.

12.4 You shall be deemed to have received and been properly served with the communication immediately once it is posted on the meetingsclub Site, 24 hours after an e-mail is sent, or three days after the communication has been posted. In proving the service of any notice, it will be sufficient to show, in the case of a letter, that delivery by hand was made or that the envelope containing the communication was properly addressed and posted in a pre-paid envelope and, in the case of an e-mail that said email was sent to the specified e-mail address of the addressees.

13. Viruses
13.1 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any content on it, or on any website linked to it.
13.2 You are responsible for configuring your information technology, computer programmes and platform in order to access the Site. You should use your own virus protection software.
13.3 You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

14. Third party links and resources on the Site
14.1 The Site may contain links to other websites not owned or operated by meetingsclub. The third-party suppliers providing Venue or Supplier information, or other services on this website are independent contractors and not agents or employees of meetingsclub limited. We make no representation or warranty as to the accuracy, completeness or authenticity of the information or opinions contained in this Site. Any link to another Site shall in no way be construed as an endorsement of that website by us. meetingsclub is not liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any such venues or suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting therefrom.

15. Linking to the Site 
15.1 You may link to the home page of our Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
15.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
15.3 We reserve the right to withdraw linking permission without notice.

16. Member content and member account interactive areas
16.1 Please note that by submitting content on this Site, including but not limited to, any reviews, member account content, forum content, you allow meetingsclub and its associates a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sub-licensable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such submissions throughout the world in any media, for any purpose; and use the name that you submit in connection with such submission. You acknowledge and agree that submissions are non-confidential and non-proprietary.
16.2 meetingsclub does not control, correct or edit the Member Content posted to this Site including through any forums, registered member accounts or other submissions, and will not be in any way responsible or liable for such Member Content. meetingsclub does however reserve the right for any reason in its sole discretion to remove without notice any Member Content.

17. Restrictions of Use and Prohibited Activities
17.1 You must not use the meetingsclub Site for any illegal, unlawful or otherwise unauthorised purpose including but not limited to encouraging others to engage in illegal or unlawful activities. You understand and agree that you are solely responsible for compliance with any and all laws, rules and regulations that may apply to your use of this Site in connection with your use of the Site.
17.2 You must not use the Site to:
17.2.1 Abuse, harm, offend, threaten, bully or violate the rights of any registered member or entity;
17.2.2 Publish, distribute and/ or disseminate any harmful, obscene, indecent, unlawful, libellous, profane, defamatory, infringing, lewd, suggestive, harassing, inappropriate, hateful, or racially, ethnically or otherwise objectionable material or information;
17.2.3 Submit information or content belonging to a third party without that third party’s prior express consent;
17.2.4 use our Site to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or account content, including passwords;
17.2.5 use this Site or its contents for any commercial purpose;
17.2.6 copy, store or otherwise access any information contained on the Site, for purposes not expressly permitted by these Terms;
17.2.7 Disseminate any information which infringes the intellectual or proprietary right of any other person;
17.2.8 interfere with or damage our Site, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-Services attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
17.2.9 use our Site, in connection with the distribution of unsolicited commercial email (“spam”);
17.2.10 Extract or gather information or data including but not restricted to scraping, crawling, data-mining or using any other automated process, technology, method, device or automated messages or queries or use any other method, device, tool, process or technology to gather information or data from the meetingsclub Site without prior written permission from meetingsclub;
17.2.11 store any personally identifiable information about any other user other than for purposes of transacting as a meetingsclub member;
17.2.12 register for more than one meetingsclub Account or register for a meetingsclub Account on behalf of an individual other than yourself or organisation other than your employer/company you are authorised to represent;
17.2.13 impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
17.2.14 use, display, mirror or frame the Site, or any individual element within the Site, any meetingsclub trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the Site;
17.2.15 post, upload, publish, submit or transmit any Content that infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
17.2.16 You agree not to use the Services on a mobile device that has been modified through the use of software and hardware exploits with the goal of overcoming limitations that carriers and hardware manufacturers put on some devices, resulting in the ability to alter or replace system applications and settings, run specialised apps that require administrator-level permissions, or perform other operations that are otherwise inaccessible to a normal user. This includes activity referred to as “rooting” or “jailbreaking” a mobile device;
17.2.17 You agree you will not use any robot, spider, scraper, deep link or other similar automated data gathering or extraction tools, program, algorithm or methodology to access, acquire, copy or monitor the Services, without meetingsclub’s express written consent, which may be withheld in meetingsclub’s sole discretion;
17.2.18 Post content that would constitute, encourage, promote or provide instructions for a conduct of an illegal activity, criminal offense, give rise to civil liability, violate the rights of any party in any country of the world, or that would otherwise create liability or violate any local, state, national or international law;
17.2.19 systematically retrieve data or other content from our Site to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise;
17.2.20 access, tamper with, or use non-public areas of the Site, meetingsclub’s computer systems, or the technical delivery systems of meetingsclub’s providers;

17.3 If you violate any of these terms, this Agreement and your right to use the Services may be terminated by meetingsclub in its sole discretion;
17.4 meetingsclub has the right to investigate and prosecute breaches of any of the above to the fullest extent of the law.

18. Notice and Take-Down Policy for illegal content
18.1 If you have any complaints or objections to material or content including User Messages posted on this Website, or if you believe that material or content posted on this Website infringes a copyright that you hold, please contact us immediately on support@meetingsclub.com.

19. Limitation of our liability
19.1 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Site or any content on it, whether express or implied will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill.
19.2 Neither meetingsclub nor any other party involved in creating, producing, or delivering the Site, will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
• use of, or inability to use, the Site;
• use of or reliance on any content displayed on the Site;
• loss of profits, sales, business, or revenue;
• business interruption;
• loss of anticipated savings;
• loss of business opportunity, goodwill or reputation;
• any indirect or consequential loss or damage;
• computer damage or;
• system failure;
arising out of or in connection with these Terms, from the use of or inability to use the Site
19.3 We will not be liable to you if for any reason our Site in unavailable at any time for any period.
19.4 Nothing in this agreement shall exclude or limit meetingsclub’s liability for death or personal injury caused by negligence; fraud; fraudulent misstatement, deliberate breach or gross negligence, any other liability which cannot be excluded under applicable law.

20. Applicable law
20.1 These Terms and your use of this Site are governed by and construed in accordance with the laws of England and Wales and any disputes will be decided by the Courts of England and Wales. However, if you are a consumer and are a resident of another country, you may bring proceedings in that country. Your statutory rights are not affected by these Terms.

21. Indemnity
21.1 You agree to indemnify, defend and hold meetingsclub, and its officers, directors, employees, agents, associates and suppliers, harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of these Terms by you or any other liabilities arising out of your use of the Services, or the use by any other person accessing the meetingsclub Site and/or the Apps using your account and/or personal Information.

22. Transfer of rights and obligations

22.1 These Terms represent the agreement between meetingsclub and you and is binding on both parties and on their respective successors and assigns.
22.2 meetingsclub may at any time, without your approval, assign or transfer the whole or any part of its rights under these Terms to any person.
22.3 You may not assign any of your rights or transfer any of your obligations under these Terms or enter into any transaction which would result in any of these rights or obligations passing to another person without obtaining the prior written consent of meetingsclub.

23. Force Majeure
23.1 meetingsclub will not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms that is caused by events outside its reasonable control (a ‘Force Majeure Event’).
23.2 “Force Majeure Event” means Acts of God, outbreak of hostilities, riot, civil disturbance, acts of terrorism, acts of any government or authority, fire, explosion, flood, fog, power failure, national industrial disputes and any other circumstance whatsoever beyond the reasonable control of meetingsclub.
23.3 Performance by meetingsclub under any contract shall be suspended for the period that the Force Majeure Event exists, and meetingsclub will have an extension of time for performance for the duration of that period.

24. Waiver
24.1 No delay or omission on the part of meetingsclub in exercising any right or remedy under these Terms shall impair that right or remedy or operate as or be taken to be a waiver of it, nor shall any single partial or defective exercise by meetingsclub of any such right or remedy preclude any other or further exercise under these Terms of that or any other right or remedy. Without prejudice to this clause, a waiver by meetingsclub of any default shall not constitute a waiver of any subsequent default

25. Severability
25.1 Each of the provisions of these Terms is severable. If any of the provisions of these Terms are determined by any competent authority to be illegal, invalid, unlawful or unenforceable in any respect under the law of England and Wales, such provision will to that extent be severed from the remaining provisions and the legality, validity or enforceability in that jurisdiction of the remaining provisions of this Agreement as appropriate, shall not in any way be affected or impaired thereby.

26. Entire Agreement
26.1 These Terms represent the entire agreement between meetingsclub and you in relation to the subject matter of any contract and supersede any prior agreement, understanding or arrangement between meetingsclub and you, whether oral or in writing.
meetingsclub and you each acknowledge that, in entering into a contract, neither party has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between them prior to such contract except as expressly stated in these Terms.
26.2 meetingsclub intends to rely upon these Terms in relation to the subject matter of any contract.
26.3 While meetingsclub accepts responsibility for statements and representations made by its duly authorised agents, it your responsibility to ask for any variations from these Terms to be confirmed in writing

27. Law and Jurisdiction
27.1 These Terms shall be governed by the laws of England and Wales and meetingsclub and you agree to submit to the exclusive jurisdiction of the courts of England and Wales in respect of any disputes which may arise in relation to these Terms.

28. Privacy Policy and Disclosures
